    Dear Members,

    Within our line of dialogue and transparency, I inform you that on this date, Wednesday, December 4th, begins an important stage for the approval of the Court-Supervised Reorganization Plan of Odebrecht S.A. and the other Group companies included in this process. The General Meeting of Creditors is scheduled for this date, on first call.

    There is a minimum quorum required by law to set up the meeting on first call. In the event this quorum is not reached in one or more companies on the initial date (December 4th), the calling notice of the meeting already provides for a second call scheduled, in Odebrecht AS’s case, to December 12th, to be opened with any quorum.

    After the installation of the meeting, if there is no consensus of the majority of creditors for the approval of the Plan, in the normal rite of these processes, it is proposed and decided upon decision of the majority of those present to suspend the meeting, thus allowing the continuation of the negotiations. The purpose is to improve the court-supervised reorganization plan and increase the chances of its approval at subsequent meetings.

    Although we know that negotiations may still continue for the next days, our goal is to reach a good outcome as soon as possible. Odebrecht’s representatives, supported by external advisors, and the main local and international creditors, proceed with technical and objective discussions in an environment of transparency.

    I can anticipate that the Court-Supervised Reorganization Plan to be proposed aims at the best possible treatment to creditors, considering the rules of the court-supervised reorganization process, the need for approval of the Plan by the creditors, and the company’s current financial limitation scenario.

    The approval of the Plan by the General Meeting of Creditors is a important step for the restructuring of the debts, and the recovery of Odebrecht’s entrepreneurial capacity.

    Thenceforth, a new phase will begin, the performance of the approved Plan, in which it will be fundamental to reaffirm the commitment and engagement of our members to overcome the next challenges and resume our company’s growth.
